Equinox prides itself on creatively structuring transactions to meet the needs of each business' sellers, management and employees, as well as the needs of Equinox and its affiliated limited partners. We maintain an open mind in evaluating transactions and devise creative solutions to meet the ultimate goals and objectives of all parties. Typically, transactions will be in one, or a variation, of the following forms:

Owner Recapitalization – Equinox purchases a portion of a business owner’s stock. This structure allows the owner to achieve personal liquidity without sacrificing operating control of the company. Moreover, the owner gains Equinox as a strong financial partner to assist with issues of strategic importance and retains significant equity ownership to participate in the ongoing company’s upside.

Outright Purchase – Equinox acquires 100% ownership of the company from a departing owner.

Add-On Acquisition – Equinox provides the strategic and financial resources to enable a business owner to acquire other companies which he/she has identified as attractive acquisition candidates.

Growth Capital – Equinox provides growth capital to promising high-growth companies, typically by acquiring a meaningful minority stake in them.

Management-led Buyout of a Corporate Division – Equinox partners with managers to acquire divisions of parent companies. Corporations selling divisions require that a buyer have both ample funding and a track record of closing transactions quickly, efficiently and with minimal disruption to ongoing business operations. Equinox adds financial credibility to managers as they pursue their chance to acquire the division they run.

Management-led Buyout of a Private Company – Equinox partners with incumbent management to acquire the business they are currently operating. Sellers typically receive all cash, and management will invest a meaningful portion of their net worth with the remaining capital provided by Equinox.

Management-led Public to Private Transaction – Equinox partners with incumbent management to take their companies private. Such transactions can serve as a vehicle to increase management’s ownership stake in the business.

Turnarounds – Equinox has the necessary skills and experience to invest in financially and/or operationally distressed companies.

In any of the above transaction forms, Equinox will implement a compensation incentive program to reward management for profitably growing the business.
